1. Acceptance of Terms

By accessing or using ACinch (the "Service"), operated by ACinch, LLC ("Company", "we", "us", or "our"), you ("User" or "you") agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and ACinch, LLC.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

ACinch is a cloud-based collaboration platform that integrates with third-party applications and services to provide unified activity feeds, project boards, messaging, calendar views, and team collaboration features. The Service allows users to aggregate and manage information from multiple workplace tools in a single dashboard.

We reserve the right to modify, update, or discontinue any aspect of the Service at any time. We will make reasonable efforts to notify you of material changes that affect your use of the Service.

3. Eligibility

To use the Service, you must meet all of the following requirements:

Be at least sixteen (16) years of age, or the age of digital consent in your jurisdiction
Have the legal capacity to enter into a binding agreement
Not have been previously suspended or removed from the Service
Reside in a jurisdiction where the Service is available (currently the United States and Canada)
Comply with all applicable local, state, national, and international laws and regulations

4. User Accounts and Security

To access most features of the Service, you must create an account. When creating an account, you agree to provide accurate, current, and complete information and to update such information to keep it accurate, current, and complete.

You are solely responsible for safeguarding your account credentials and for all activities that occur under your account. You must not share your account credentials with any other person. You must immediately notify us at support@acinch.com if you become aware of any unauthorized use of your account or any other breach of security. ACinch will not be liable for any losses arising from unauthorized use of your account.

5. Subscription Plans, Fees, and Payment

ACinch offers subscription plans as described on our website. The Basic plan is available at $5 per month per user. All fees are quoted in United States Dollars (USD) unless otherwise specified. Pricing is subject to change with at least thirty (30) days' prior notice.

By subscribing to a paid plan, you agree to the following payment terms:

Fees are billed monthly in advance on the anniversary of your subscription start date
Payment is processed automatically via the payment method you provide
You are responsible for all applicable taxes, duties, and levies associated with your subscription
If payment fails, we will attempt to process the payment again. If payment remains unsuccessful after three (3) attempts over a ten (10) day period, your account may be downgraded or suspended
Refunds are not generally provided for partial months of service, except where required by applicable law. You may cancel your subscription at any time, and you will retain access through the end of your current billing period

6. Free Trial

ACinch offers a free trial period of fifteen (15) days for new users. During the trial period, you will have access to the full features of your selected plan.

At the end of the trial period, your account will automatically convert to a paid subscription unless you cancel before the trial expires. You may cancel at any time during the trial period without charge. Only one free trial is available per user or organization.

7. Acceptable Use and Prohibited Conduct

You agree to use the Service only for lawful purposes and in accordance with these Terms. You are responsible for all content you submit, post, or display through the Service and for all activities that occur under your account.

You agree not to:

Use the Service to violate any applicable law, regulation, or third-party rights
Upload, transmit, or distribute any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
Attempt to gain unauthorized access to the Service, other user accounts, or any computer systems or networks connected to the Service
Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure
Use the Service to transmit spam, chain letters, or other unsolicited communications
Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Service
Use automated means (bots, scrapers, crawlers) to access the Service without our prior written consent
Sublicense, resell, or redistribute the Service to any third party without authorization

We reserve the right to investigate and take appropriate action against anyone who violates these provisions, including removing content, suspending or terminating accounts, and reporting violations to law enforcement authorities.

8. Intellectual Property

The Service, including all software, designs, text, graphics, logos, icons, images, audio clips, data compilations, and the selection and arrangement thereof, is the property of ACinch, LLC or its licensors and is protected by United States and international intellectual property laws. All rights not expressly granted in these Terms are reserved.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business or personal purposes during the term of your subscription. This license does not include any right to modify, copy, distribute, or create derivative works from the Service.

9. User Content and Data Ownership

You retain all ownership rights in any data, content, or materials that you submit, upload, or transmit through the Service ("User Content"). By using the Service, you grant ACinch a limited, non-exclusive, worldwide license to process, store, display, and transmit your User Content solely for the purpose of providing and improving the Service.

You are solely responsible for the accuracy, quality, and legality of your User Content and for ensuring that your User Content does not infringe upon or violate the rights of any third party. ACinch does not claim ownership of your User Content and will not use it for any purpose other than providing the Service, unless you provide explicit consent.

You may request export or deletion of your User Content at any time by contacting us at support@acinch.com. Data export requests will be fulfilled within thirty (30) days.

10. Third-Party Integrations

The Service allows you to connect with and access data from third-party applications and services ("Third-Party Services"). Your use of any Third-Party Service is governed by the terms of service and privacy policies of that third party. By connecting a Third-Party Service, you authorize ACinch to access and retrieve data from that service on your behalf.

ACinch does not control and is not responsible for the availability, accuracy, or content of Third-Party Services. We make no representations or warranties regarding Third-Party Services and shall not be liable for any loss or damage arising from your use of or reliance on any Third-Party Service. Third-Party Services may modify their APIs or terms at any time, which may affect the availability or functionality of integrations within ACinch.

11. Confidentiality

Each party agrees to maintain the confidentiality of any non-public information disclosed by the other party in connection with the Service ("Confidential Information"). Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was independently developed by the receiving party without use of the disclosing party's Confidential Information; (c) was lawfully received from a third party without restriction; or (d) is required to be disclosed by law or regulation. Each party will protect the other party's Confidential Information using at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care.

12. Privacy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. Our Privacy Policy describes how we collect, use, store, and disclose your personal information. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy. Please review our Privacy Policy carefully before using the Service.

13. Warranty Disclaimer

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ACINCH, LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ACINCH, LLC, ITS AFFILIATES, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL LIABILITY OF ACINCH, LLC FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO ACINCH IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

15. Indemnification

You agree to indemnify, defend, and hold harmless ACinch, LLC and its affiliates, members, managers, officers, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your User Content; or (e) your infringement of any third-party rights.

ACinch reserves the right to assume exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate with ACinch in asserting any available defenses.

16. Termination and Suspension

You may terminate your account at any time through your account settings or by contacting us at support@acinch.com. ACinch may terminate or suspend your access to the Service, in whole or in part, at any time and for any reason, including but not limited to a breach of these Terms, with or without prior notice.

Upon termination of your account:

Your right to use the Service will immediately cease
You will have thirty (30) days to request an export of your User Content before it is permanently deleted
Any outstanding fees or charges will remain due and payable
Provisions of these Terms that by their nature should survive termination will continue in full force and effect, including but not limited to intellectual property provisions, warranty disclaimers, limitation of liability, indemnification, and dispute resolution
We may retain certain data as required by law or for legitimate business purposes, as described in our Privacy Policy

17. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the federal or state courts located in the State of Wyoming, and you consent to the personal jurisdiction of such courts.

Before filing any formal legal proceeding, you agree to first attempt to resolve any dispute informally by contacting us at support@acinch.com. We will attempt to resolve the dispute through good-faith negotiations for a period of thirty (30) days.

YOU AGREE THAT ANY CLAIM OR DISPUTE ARISING OUT OF THESE TERMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

18. General Provisions

These Terms, together with the Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and ACinch, LLC regarding the Service. The following general provisions apply:

Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect
Waiver: The failure of ACinch to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision
Force Majeure: ACinch shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, government actions, or internet or telecommunications failures
Assignment: You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. ACinch may assign these Terms without restriction
Notices: We may provide notices to you via email to the address associated with your account, through the Service, or by posting on our website. You may provide notices to us by email at support@acinch.com
Headings: Section headings are for convenience only and shall not affect the interpretation of these Terms

19. Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will provide at least thirty (30) days' notice before the changes take effect by posting the updated Terms on our website and sending you a notification via email or through the Service. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree with the revised Terms, you must stop using the Service and may terminate your account.
